1. Who These Terms Are With

These Terms of Service ("Terms") are a contract between you and Circles Club Ltd ("The Circles Club," "we," "us"), a company registered in England and Wales under company number 17185157, with its registered office at The Hay Loft, Peasemore, Newbury, United Kingdom, RG20 7JH. They govern your access to and use of The Circles Club app and website (the "Service").

By creating an account, you agree to these Terms and to our Privacy Notice, which explains how we collect and use your personal information. If you don't agree, please don't use the Service.

2. Eligibility

You must be at least 18 years old to use The Circles Club. We verify this at sign-up through the age assurance and identity verification process described in our Privacy Notice. Providing false information about your age or identity is a breach of these Terms and grounds for immediate account termination.

You may hold only one account, under your own real name and likeness. You're responsible for everything that happens under your account, and for keeping your login details secure.

3. Membership

The Circles Club is invite-only. You may join because an existing member vouches for you, or because our membership team reviews and approves your application directly. Membership is not a right — we may decline an application, or decline to renew one, at our reasonable discretion, including where we believe a member poses a safety risk to others.

We may suspend or terminate your membership as set out in Section 14.

4. The Service

The Circles Club helps you coordinate plans with people you know and trust. The Service includes, among other things:

  • Who's Around — signals your real-time availability to your connections. Off by default, shows only a coarse distance (never your precise location) to people you choose, and expires automatically. Full detail is in our Privacy Notice.

  • Live Moments — lets you broadcast a plan to chosen connections, who can respond to join.

  • Discover — introduces you to friends-of-friends who share your interests, based on connections you or your synced contacts have in common.

  • Reliability Score — an internal score based on your attendance history (plans kept, check-ins, no-shows, late cancellations), which can affect your visibility to others in Discover.

We may add, change, or remove features at any time. We'll try to give reasonable notice of changes that materially reduce the Service's functionality.

5. Acceptable Use

When using The Circles Club, you agree not to:

  • Impersonate any person, or misrepresent your identity, age, or affiliation with any person or entity;

  • Harass, threaten, stalk, or intimidate any other member;

  • Post or send content that is unlawful, defamatory, obscene, or that infringes someone else's rights;

  • Use the Service to promote violence, discrimination, or hatred against any person or group;

  • Use the Service for commercial solicitation, advertising, or spam not expressly authorised by us;

  • Scrape, reverse-engineer, or use automated means to access the Service;

  • Circumvent our verification, invite, or vetting processes;

  • Use the Service if you've previously been removed from it, unless we agree otherwise.

We rely on members to report behaviour that breaches these standards using the in-app reporting tools. We review reports and may remove content, restrict features, or suspend or terminate accounts as a result. Section 6.4 covers how we handle reports of illegal content specifically.

6. Safety and Meeting Other Members in Person

6.1 The Circles Club helps you make plans — you're responsible for your own safety when you carry them out. The steps described in our Privacy Notice — age assurance, a one-time verification selfie reviewed by a member of our team (not facial recognition software), and an invite or vetting process for new members — reduce, but do not eliminate, the risk of interacting with people you don't already know. They are not a background check, a criminal record check, or a safety guarantee.

6.2 You are solely responsible for your interactions with other members, on and off the Service, including any in-person meeting arranged through Live Moments, Discover, or Who's Around. Take the precautions you'd take meeting anyone new: meet in a public place, tell a friend where you're going, and trust your judgement if something feels wrong.

6.3 To the fullest extent the law allows, The Circles Club is not liable for the conduct of any member, on or off the Service, including any injury, loss, or damage arising from an in-person meeting facilitated through the Service. This does not limit our liability for death or personal injury caused by our own negligence, or any other liability that cannot be excluded under the law that applies to you — see Schedule A.

6.4 Reporting illegal or harmful content. Report content or behaviour you believe is illegal, or breaches these Terms, using the in-app report function or by emailing membership@thecirclesclub.com. We review reports and aim to act on well-founded reports of illegal content promptly, including by removing content, restricting a member's access to features, or suspending or terminating an account. If we remove your content or restrict your account, we'll tell you why unless legally prevented from doing so, and you can appeal by replying to that notice.

7. Content You Share

7.1 You own your content. You retain ownership of anything you post to The Circles Club, including Live Moments, messages, photos, and profile information ("Your Content").

7.2 The licence you give us. By posting Your Content, you grant The Circles Club a worldwide, non-exclusive, royalty-free licence to host, store, display, and distribute it, solely to operate, provide, and improve the Service, for as long as your account (or the specific content) remains active, or as otherwise described in our Privacy Notice.

7.3 Your responsibility. You're solely responsible for Your Content and confirm you have the rights to post it. We don't pre-screen content, but we can remove content or restrict accounts that breach these Terms, applicable law, or third-party rights.

7.4 Reporting infringement. If you believe content on The Circles Club infringes your intellectual property rights, contact membership@thecirclesclub.com with details of the content and your rights, and we'll investigate and respond in accordance with applicable law.

8. Fees and Payments

8.1 The Circles Club membership is currently £9.99 for a limited time. Certain features, events, or venue perks may require payment, as described at the point of purchase.

8.2 Where you make a payment, you authorise us (or our payment processor) to charge your chosen payment method for the amount shown, plus any applicable tax. Prices are shown inclusive of VAT where required by law.

8.3 Recurring charges. If a purchase renews automatically, we'll say so clearly before you pay, tell you how to cancel, and — where the law where you live requires it — remind you before you're charged again. Cancel any recurring purchase before the next renewal date via membership@thecirclesclub.com.

8.4 Refunds. Except where the law requires otherwise (including the consumer rights in Schedule A), payments are non-refundable once the event, perk, or feature has been used, or the event date has passed.

9. Third-Party Services

The Circles Club uses third parties to operate parts of the Service, including Google Maps/Places (venue search), AppsFlyer (referral and install tracking), and one or more payment processors. Features built on these providers may also be subject to their own terms. We are not responsible for the acts or omissions of independent third parties, including partner venues.

10. Our Intellectual Property

The Circles Club name, logo, and the Service itself (excluding Your Content) are owned by Circles Club Ltd or our licensors. Nothing in these Terms gives you any right to use our trademarks or branding except as needed to use the Service as intended.

11. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including that the Service will be uninterrupted, error-free, or secure, or that any member is who they represent themselves to be beyond the specific verification steps in our Privacy Notice. Nothing here limits any warranty or consumer guarantee that cannot lawfully be excluded — see Schedule A.

12. Limitation of Liability

12.1 To the fullest extent the law allows, The Circles Club's total liability to you for any claim arising from these Terms or the Service is limited to the greater of (a) the amount you paid us in the 12 months before the claim arose, or (b) £50.

12.2 To the fullest extent the law allows, The Circles Club is not liable for indirect, incidental, or consequential loss, including loss of profit, data, or opportunity.

12.3 Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any statutory right that applies to you and cannot be waived by contract. Schedule A sets out how this applies depending on where you live.

13. Indemnity

To the extent the law that applies to you permits it, you agree to indemnify The Circles Club against claims, losses, and expenses arising from your breach of these Terms, your misuse of the Service, or Your Content. See Schedule A for jurisdictions that limit consumer indemnities.

14. Suspension and Termination

We may suspend or terminate your account, with or without notice, if we reasonably believe you've breached these Terms, posed a safety risk to another member, or if required to by law. Close your account at any time in the app or by emailing membership@thecirclesclub.com Sections 6, 7.1, 10, 12, 13, and 16 survive termination.

15. Changes to These Terms

We may update these Terms from time to time. If a change is material, we'll notify you in the app or by email before it takes effect. Continuing to use the Service afterwards means you accept the update.

16. Governing Law and Disputes

These Terms are governed by the laws of England and Wales, subject to Schedule A. Nothing in this Section removes any right you have to bring proceedings in the courts of the country you live in, or to rely on the mandatory consumer protection law of that country, where applicable law gives you that right.

17. General

Severability. If any part of these Terms is unenforceable, the rest remains in effect. Entire agreement. These Terms and our Privacy Notice are the entire agreement between us about the Service. Assignment. We may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign your rights under these Terms. Force majeure. We're not liable for delay or failure caused by events outside our reasonable control. Sanctions. You may not use the Service if you're located in, or ordinarily resident in, a country or region subject to UK, EU, or US trade sanctions, or if you're on a relevant restricted-party list. No waiver. Failing to enforce a right under these Terms isn't a waiver of it.

12.3 Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any statutory right that applies to you and cannot be waived by contract. Schedule A sets out how this applies depending on where you live.



13. Indemnity

To the extent the law that applies to you permits it, you agree to indemnify The Circles Club against claims, losses, and expenses arising from your breach of these Terms, your misuse of the Service, or Your Content. See Schedule A for jurisdictions that limit consumer indemnities.



14. Suspension and Termination

We may suspend or terminate your account, with or without notice, if we reasonably believe you've breached these Terms, posed a safety risk to another member, or if required to by law. Close your account at any time in the app or by emailing membership@thecirclesclub.com Sections 6, 7.1, 10, 12, 13, and 16 survive termination.



15. Changes to These Terms

We may update these Terms from time to time. If a change is material, we'll notify you in the app or by email before it takes effect. Continuing to use the Service afterwards means you accept the update.



16. Governing Law and Disputes

These Terms are governed by the laws of England and Wales, subject to Schedule A. Nothing in this Section removes any right you have to bring proceedings in the courts of the country you live in, or to rely on the mandatory consumer protection law of that country, where applicable law gives you that right.



17. General

Severability. If any part of these Terms is unenforceable, the rest remains in effect. Entire agreement. These Terms and our Privacy Notice are the entire agreement between us about the Service. Assignment. We may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign your rights under these Terms. Force majeure. We're not liable for delay or failure caused by events outside our reasonable control. Sanctions. You may not use the Service if you're located in, or ordinarily resident in, a country or region subject to UK, EU, or US trade sanctions, or if you're on a relevant restricted-party list. No waiver. Failing to enforce a right under these Terms isn't a waiver of it.

Schedule A — Region-Specific Terms

Where this Schedule conflicts with the Terms above, this Schedule governs for members in the relevant region.

A1. United Kingdom Members

Your statutory rights. Nothing in these Terms affects your rights under the Consumer Rights Act 2015, including your right to a service performed with reasonable care and skill. We cannot and do not exclude liability for death or personal injury caused by our negligence, or for fraud.

Cancellation. If you buy something from us as a UK consumer at a distance, you may have a 14-day right to cancel under the Consumer Contracts Regulations 2013, unless an exemption applies — event or venue bookings tied to a specific date are often exempt once you've asked for the booking to proceed. We'll confirm which applies at the point of purchase.

Online Safety Act 2023. Circles is a user-to-user service under the OSA. We assess and take steps to reduce the risk of illegal content and activity on the Service in line with our duties under the Act, and you can report suspected illegal content as described in Section 6.4. Contact us first (Section 18); if you remain unsatisfied, you may be able to raise concerns with Ofcom as the OSA regulator.

Complaints. If we can't resolve something, UK consumers can contact the Citizens Advice consumer service, or, for eligible disputes, an alternative dispute resolution provider.

A2. European Economic Area Members

Consumer rights. Nothing in these Terms affects any mandatory consumer protection you're entitled to under the law of your EU member state of residence, regardless of the governing law in Section 16.

Withdrawal right. As an EU consumer, you generally have a 14-day right of withdrawal from a distance contract, subject to the exemptions in the Consumer Rights Directive (2011/83/EU) — for example, leisure services tied to a specific date, once performance has begun with your consent.

Digital Services Act. Circles is an online platform under the EU Digital Services Act. We handle notices of illegal content through the process in Section 6.4, operate an internal complaint-handling process for decisions about your account or content, and will notify you of significant changes to these Terms in advance. [As a small enterprise, some DSA obligations may not yet apply to us in full — confirm scope with EU counsel as we scale.]

Online dispute resolution. The European Commission's Online Dispute Resolution platform is available at ec.europa.eu/consumers/odr.

A3. Australian Members

Australian Consumer Law. Our services come with guarantees that cannot be excluded under the ACL. For major failures, you're entitled to a refund or replacement; for other failures, to have the problem fixed in a reasonable time. Nothing in these Terms excludes, restricts, or modifies any ACL right that cannot lawfully be excluded, restricted, or modified.

Unfair contract terms. If any term of these Terms is an unfair contract term under the ACL, it is void as against you, and the rest of these Terms continues to apply.

Online safety. Report abuse or harmful content to us (Section 6.4) or to the eSafety Commissioner at esafety.gov.au.

A4. United States Members

Arbitration agreement and class action waiver. [Standard for US consumer apps, but a genuine strategic choice, not just boilerplate — see chat.] You and Circles agree to resolve disputes through binding, individual arbitration rather than in court, and you waive any right to participate in a class action. Opt out by emailing legal@thecirclesclub.com within 30 days of creating your account.

Biometric information. We do not use facial recognition or other automated biometric matching technology. Our identity verification selfie is reviewed by a human member of our team, not an algorithm, and is not used to create or store a biometric identifier as defined under Illinois's Biometric Information Privacy Act or similar state laws.

State privacy rights. Residents of California, Colorado, Connecticut, Virginia, and other states with comprehensive privacy laws have the rights described in our Privacy Notice, including rights to access, delete, and correct personal information, which we honour regardless of state of residence.
